These Terms of Service ("Agreement" or "Terms of Service") are a legally binding agreement between Ejaad AI ("we," "us," or "our"), a company registered in Riyadh, Kingdom of Saudi Arabia, with an address at Al Imam Saud Bin Faysal Rd, Al Aqeeq Dist, Riyadh 13515, and the company ("Client," "you," or "your") that is entering into a service agreement with us.
These Terms of Service will govern your use of our platform and services (the “Platform”) through our website or application, as detailed in the service agreement.
By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and any associated service agreements entered into with us. If you do not agree with these Terms of Service, you must not use our Platform.
**IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THIS AGREEMENT, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE OUR WEBSITE OR PLATFORM.**
BY ACCEPTING A SERVICE AGREEMENT WITH US, YOU AGREE THAT (A) YOU HAVE READ AND UNDERSTOOD THE AGREEMENT; (B) YOU REPRESENT THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE CLIENT; AND (C) YOU ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS AS WELL AS ANY INDIVIDUAL SERVICE AGREEMENT EXECUTED BETWEEN YOU AND US.
Introduction to Ejaad AI
Ejaad AI provides a platform, powered by proprietary AI technology, designed to assist businesses with data analysis, content creation, and other AI-powered solutions. Our Platform enables you to leverage our expertise and technology for various business tasks, enhancing productivity and efficiency. ("Services"). The specific scope of these Services shall be further detailed in any individual service agreement.
Privacy Policy
We are committed to protecting your data. Our privacy practices are in accordance with the laws of Saudi Arabia. We collect, use, and process your information as outlined in any executed service agreement and our Privacy Policy, available upon request and linked within any individual service agreement.
Intellectual Property
Ejaad AI retains all right, title, and interest in and to our Platform, including all copyrights, trademarks, and other intellectual property rights, except as specifically provided for in an individual service agreement.
Access Rights
Access to and use of our Platform is exclusively available through a signed service agreement between you and us. We have the right to disable your access at any time for violations of this Agreement, any service agreement, or our Privacy Policy. You agree to cooperate with us if the security of our Platform is compromised.
Required and Prohibited Conduct
You agree to: (i) comply with all applicable laws, including those within Saudi Arabia; (ii) provide accurate information to us; (iii) review our Privacy Policy and any service agreement; and (iv) comply with our notices.
You agree not to: (i) duplicate, license, sell, or exploit our Platform; (ii) reverse engineer our technology; (iii) use data to provide a competing service; (iv) access or attempt to access our Platform by any means other than through our provided interface; (v) remove any copyright notices; or (vi) engage in any harmful, offensive, or illegal activity.
Contractual Agreements Only
Access to our Platform and Services is exclusively available via a service agreement. There is no general user registration or payment structure outside of what is outlined in the contract between Ejaad AI and the Client.
Indemnification
You agree to indemnify, defend, and hold Ejaad AI harmless from any costs, liabilities, losses, and expenses resulting from your breach of this Agreement, any service agreement, your negligence, fraud, incorrect information provided by you, or your failure to comply with applicable laws.
Disclaimers
Our Platform is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty regarding the completeness, accuracy, security, or reliability of our Platform. We are not responsible for any client-generated content on the platform.
Limitation of Liability
In no event will Ejaad AI be liable for any indirect, punitive, exemplary, incidental, special, or consequential damages. Our liability is limited to the fee, if any, you paid for accessing or using our Platform under an applicable service agreement.
Termination
Termination of the Agreement and specific services will be governed by the terms of any applicable service agreement. We may suspend or terminate your access at any time for any reason, including violations of this Agreement or our Privacy Policy, or breaches of a service agreement.
Modifications
We will post changes to these Terms on our website and notify you by email or through other communication channels as specified in any service agreement. Your continued use of our platform after changes are posted constitutes acceptance of the modified Terms.
Relationship of Parties
The parties are independent contractors and not partners, joint venturers, or employer/employee. The Client has no power to bind Ejaad AI to any obligation.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law rules.
Miscellaneous
This Agreement is the entire agreement between you and Ejaad AI, supplemented by any specific service agreement. Our failure to enforce any provision does not constitute a waiver of such provision. If any provision is invalid, it will be modified to reflect the parties’ intentions, and the remaining provisions will remain in effect. Any claim arising from this Agreement must be filed within one year of the claim arising. All sections intended to survive termination will survive. Notices will be provided to you through our Platform, email, or as specified in any service agreement.
